Welcome to Buddy Assist. By accessing or using our platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account or using Buddy Assist (the "Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Buddy Assist is a platform that enables organisations to connect their data sources — including documents, wikis, PDFs, and third-party platforms — and turn them into a conversational layer that users can interact with in natural language. The Service includes data sync, AI-powered question answering, analytics, and human escalation integrations.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using Buddy Assist, you represent and warrant that you meet these requirements.

4. Account Registration

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload, transmit, or store content that is illegal, harmful, threatening, abusive, defamatory, or infringes on third-party intellectual property rights
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use the Service to train competing AI models or services
• Exceed usage limits or attempt to circumvent rate limits or access controls
• Introduce malware, viruses, or any code designed to disrupt the Service

6. Data You Provide

You retain ownership of all data, documents, and content you upload or connect to Buddy Assist. By using the Service, you grant Buddy Assist a limited, non-exclusive licence to process your data solely for the purpose of providing the Service to you. We do not use your data to train our AI models or any third-party models.

7. Subscriptions and Billing

Certain features of Buddy Assist require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of your account.

8. Intellectual Property

Buddy Assist and all related software, branding, and content are the intellectual property of Buddy Assist and its licensors. Nothing in these Terms grants you any right to use the Buddy Assist name, logo, or trademarks without prior written consent.

9. Third-Party Integrations

The Service integrates with third-party platforms including Notion, Confluence, GitBook, Zendesk, Freshdesk, Intercom, HubSpot, and Slack. Your use of those platforms is governed by their respective terms. Buddy Assist is not responsible for the availability, accuracy, or policies of third-party services.

10. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications at any time. We will endeavour to provide advance notice of planned downtime where possible.

11. Limitation of Liability

To the maximum extent permitted by law, Buddy Assist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

12. Indemnification

You agree to indemnify and hold harmless Buddy Assist, its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. Upon termination, your right to access the Service ceases immediately. We may delete your data 30 days after termination unless you request an export beforehand. We reserve the right to suspend or terminate accounts that violate these Terms without notice.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
